Filing Explained

June 30 credit-quality measures and capital ratios add context to reported earnings; CET1 was 10.42 percent and unguaranteed nonperforming loans were 1.00 percent.

The July 22, 2026 Form 8-K reports second-quarter financial condition under Item 2.02; its holder-relevant structural information is the capital position supporting the reported results, rather than a new ownership mechanic.

For the quarter ended June 30, 2026, net charge-offs were $24,162 thousand, or 0.80% of average loans and leases held for investment; unguaranteed nonperforming historical-cost loans were $124,336 thousand, or 1.00% of those loans.

At quarter-end, common equity tier 1 capital was 10.42% of risk-weighted assets and tier 1 leverage capital was 8.59% of average assets, while tangible common equity was 7.56% of tangible assets.

The filing distinguishes historical-cost loan measures from fair-value loan measures, so the credit-quality percentages are not a single ratio covering every loan category.

pre-provision net revenue financial
"generated a 19.0% and 31.5% increase in pre-provision net revenue1"
Pre-provision net revenue is a bank’s income from core operations — interest earned minus interest paid plus fees and other operating income, after operating costs — measured before setting aside funds for potential loan losses. Investors use it to gauge how well a bank’s everyday business generates money independent of one-time loss reserves, like judging a store’s sales and operating profit before accounting for an expected number of returned items.
net interest margin financial
"Net interest margin increased 6 basis points during the second quarter of 2026"
Net interest margin measures how much a bank earns from lending and investing compared with what it pays for funding, expressed as a percentage of its interest-earning assets. Think of it like a grocery store’s markup: it shows the gap between buying cost and selling price per dollar of goods — here, the cost is interest paid and the sale is interest received. Investors watch it because a higher margin usually means a bank is more profitable and better at managing interest rate and credit conditions.
allowance for credit losses financial
"Allowance for credit losses on loans and leases | (193,417)"
Allowance for credit losses is a reserve set aside by a financial institution to cover potential losses from borrowers who may not repay their loans. It acts like a safety net, helping the institution prepare for loans that might turn sour. For investors, it signals how cautious the institution is about the quality of its loans and potential risks to its financial health.
tangible book value per common share financial
"Tangible book value per common share (1) | 26.20"
A per-share measure of the company’s tangible net asset value available to common shareholders after removing intangible items (like goodwill, brand value, and patents) and any preferred shareholder claims. Think of it as the amount each common share would get if the company sold only its physical and financial assets and settled priority claims. Investors use it as a conservative baseline to judge whether a stock is cheaply priced relative to the company’s hard-asset backing.
efficiency ratio financial
"Efficiency ratio (1) | 54.13"
A measure of how much a company spends to produce each dollar of revenue, usually shown as operating expenses divided by revenue and expressed as a percentage. Think of it as a household’s budget: a lower percentage means more of each dollar earned stays as profit, while a higher number means costs are eating into returns. Investors use it to judge cost control and compare how efficiently companies turn revenue into earnings, especially in banks and financial firms.
Net income attributable to common shareholders $34.7 million up 24.2% vs Q1 2026; up 48.1% vs Q2 2025
Diluted EPS 0.74 up 23.3% vs Q1 2026; up 45.1% vs Q2 2025
Total revenue $156,145 thousand up 7.3% vs Q1 2026; up 11.8% vs Q2 2025
Pre-provision net revenue $71,620 thousand up 19.0% vs Q1 2026; up 31.5% vs Q2 2025

This press release presents non-GAAP financial measures. The adjustments to reconcile from the non-GAAP financial measures to the applicable GAAP financial measure are included where applicable in financial results presented in accordance with GAAP. The Company considers these adjustments to be relevant to ongoing operating results. The Company believes that excluding the amounts associated with these adjustments to present the non-GAAP financial measures provides a meaningful base for period-to-period comparisons, which will assist regulators, investors, and analysts in analyzing the operating results or financial position of the Company. The non-GAAP financial measures are used by management to assess the performance of the Company’s business for presentations of Company performance to investors, and for other reasons as may be requested by investors and analysts. The Company further believes that presenting the non-GAAP financial measures will permit investors and analysts to assess the performance of the Company on the same basis as that applied by management. Non-GAAP financial measures have inherent limitations, are not required to be uniformly applied, and are not audited. Although non-GAAP financial measures are frequently used by shareholders to evaluate a company, they have limitations as an analytical tool and should not be considered in isolation or as a substitute for analysis of results reported under GAAP.
