(the “Company”) issued a press release announcing that it had regained compliance with Nasdaq Listing Rule 5620(a), a copy of which press release is attached to this Current Report on Form 8-K (this “Report”) as Exhibit 99.1 and is incorporated herein by reference.

As previously disclosed in that Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission (the “Commission”) on May 6, 2026, the Company received a written notice (the “Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) indicating that the Company is not in compliance with Nasdaq Listing Rule 5620(a) because it did not hold an annual meeting of stockholders within one year of the end of its fiscal year ended April 30, 2026. As a result, the Company was out of compliance with Nasdaq Listing Rule 5620(a) (the “Annual Meeting Rule”).

 

On July 24, 2026, the Company received a letter from the Staff of Nasdaq notifying the Company that, based on the fact that the Company held its Annual Meeting on July 22, 2026, as disclosed in the Current Report on Form 8-K filed by the Company with the Commission on July 23, 2026, the Staff has determined that the Company has regained compliance with the Annual Meeting Rule and that the matter is now closed.

MONTEREY PARK, Calif., July 27, 2026 — Maison Solutions Inc. (Nasdaq: MSS) (“Maison Solutions” or the “Company”), a specialty grocery retailer offering traditional Asian food and merchandise to U.S. consumers, today announced that it has received written notification from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”) confirming that the Company has regained compliance with the annual meeting requirement under Nasdaq Listing Rule 5620(a) and that the matter is now closed.

 

Nasdaq previously notified the Company on May 6, 2026, that it was not in compliance with Nasdaq Listing Rule 5620(a), which requires the Company to hold an annual meeting of stockholders no later than one year after the end of its fiscal year. The Company held its Annual Meeting of Stockholders on July 22, 2026, and reported the final voting results in a Current Report on Form 8-K filed with the Securities and Exchange Commission (“SEC”) on July 23, 2026.
