(the “Company”) entered into a Subscription Agreements (the “Agreements”) with accredited investors (the “Investors”), pursuant to which the Investors purchased in a private placement an aggregate of 5,200,000 shares of the Company’s common stock (“Common Stock”) at a purchase price of $2.50. The offering is expected to close on or about December 1, 2025. The gross proceeds to the Company from the offering were approximately $13.0 million, before deducting offering expenses.
