(OPNW) closed a registered direct offering of 1,494,084 common shares, a pre-funded warrant to purchase 1,023,901 shares, a Series A warrant to purchase 2,517,985 shares, and a Series B warrant to purchase 2,517,985 shares. registered direct public offering financial
"in connection with the registered direct public offering"
Pre-Funded Warrants financial
"shares of Common Stock underlying pre-funded warrants"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
reasonable best efforts financial
"on a “reasonable best efforts” basis"
A contractual standard that obligates a party to take diligent, commercially sensible steps to accomplish a stated objective but stops short of an absolute guarantee; the party must try reasonably hard and act in good faith, using available resources and customary methods, but is not required to take extreme, impractical, or ruinous measures to succeed. In practice the phrase sits between stricter formulations (e.g., “best efforts,” which courts often interpret as requiring very vigorous attempts) and looser ones (e.g., “reasonable efforts”), and its exact scope can depend on the contract language and governing law, so it does not impose unlimited liability or force actions that would be commercially unreasonable.
at-the-market financial
"priced at-the-market under Nasdaq rules"
"At-the-market" is a method for companies to sell new shares of stock directly into the open market over time, rather than all at once. It allows companies to raise money gradually, similar to selling slices of a pie instead of the entire pie at once, which can help manage the sale's impact on the stock price. This approach gives investors a steady supply of shares while providing companies with flexible funding options.
Lock-Up Agreement financial
"entered into a lock-up agreement"
A lock-up agreement is a contract that prevents company insiders and early investors from selling their shares for a fixed period after a stock sale, often after an initial public offering. It matters to investors because it temporarily limits the number of shares that can hit the market, which can keep the share price steadier; when the lock-up ends, a sudden increase in available shares can create extra volatility, revealing insiders’ confidence or lack thereof.
