Rhea-AI Filing Summary

Shoe Station Group, Inc. amended its $100 million revolving credit facility, extending its maturity to October 15, 2031. The amendment revises borrowing margins: Base Rate loans carry a margin of 0.00% to 1.00%, while Adjusted Term SOFR loans carry a margin of 1.00% to 2.00%; both depend on the Company’s Consolidated Total Leverage Ratio. The amended Adjusted Term SOFR definition removes the 0.10% credit spread adjustment. Fees on unused commitments range from 0.20% to 0.30% per annum, also based on that ratio.

It increases the annual restricted-payment basket, subject to applicable conditions, to $40 million and permits up to $35 million of debt secured by real property acquired, constructed or developed for the corporate headquarters. Specified add-backs in Consolidated EBIT are subject to a 20% cap. The default threshold for certain defaults is the greater of $10 million and 10% of Consolidated EBITDA. The amendment also permits certain sale-leaseback transactions involving the Evansville, Indiana real property and any corporate headquarters property, subject to its conditions.

swingline loans financial
"including swingline loans and commercial and standby letters of credit"
A swingline loan is a very short-term, on-demand loan that sits inside a larger credit facility to cover immediate cash needs like payroll, small bills, or last-minute payments. Think of it as an emergency overdraft from a lender: it’s quick to draw, repaid fast, and usually carries faster fees, so investors watch it as a signal of a company’s liquidity pressure and potential cost or covenant stress.
Adjusted Term SOFR financial
"Adjusted Term SOFR plus an applicable margin"
Adjusted term SOFR is a forward‑looking interest benchmark based on short‑term overnight Treasury repo rates, with a small extra amount added to reflect differences from legacy rates. Think of it as a quoted price that has been nudged to make payments comparable to older benchmarks; it matters to investors because it directly influences borrowing costs, bond yields and cash‑flow forecasts, affecting valuations and hedging outcomes.
Consolidated Total Leverage Ratio financial
"based on the Company’s Consolidated Total Leverage Ratio"
Consolidated total leverage ratio measures how much a company owes compared with the profit it generates, calculated across all its units together. Think of it as the company’s total net debt divided by a measure of annual operating cash profit; like comparing how much mortgage you owe to your yearly take-home pay. Investors use it to judge risk: a higher ratio means more debt burden and greater vulnerability to shocks, while a lower ratio suggests a stronger ability to service debt and sustain operations.
restricted-payment basket financial
"increases the annual restricted-payment basket"
Consolidated EBIT financial
"in the calculation of Consolidated EBIT"
sale-leaseback transactions financial
"permits certain sale-leaseback transactions"
A sale-leaseback transaction is when an owner sells a property or asset and immediately rents it back from the buyer, like selling your house and signing a lease to keep living in it. For investors, it matters because the seller converts a fixed asset into cash while taking on a new rent expense, which can boost short-term liquidity but change long-term earnings, debt levels and risk profiles that affect valuation and creditworthiness.

Item 1.01. Entry into a Material Definitive Agreement.

On October 15, 2026, Shoe Station Group, Inc. (the “Company”) entered into the First Amendment to Amended and Restated Credit Agreement (the “Amendment”) with the financial institutions party thereto as lenders (the “Lenders”) and Wells Fargo Bank, National Association, as administrative agent (in such capacity, the “Administrative Agent”). The Amendment modifies the Company’s Amended and Restated Credit Agreement dated as of March 23, 2022 (as amended, the “Credit Agreement”). The Credit Agreement provides for a $100 million revolving credit facility, including swingline loans and commercial and standby letters of credit.

The Amendment extends the maturity date of the revolving credit facility to October 15, 2031 and revises the pricing terms applicable to borrowings and unused commitments. Following the Amendment, revolving loans bear interest, at the Company’s option, at either (i) a Base Rate plus an applicable margin ranging from 0.00% to 1.00% or (ii) Adjusted Term SOFR (which definition was amended in the Amendment to eliminate the 0.10% credit spread adjustment) plus an applicable margin ranging from 1.00% to 2.00%, in each case based on the Company’s Consolidated Total Leverage Ratio. The commitment fee on the unused portion of the revolving credit facility ranges from 0.20% to 0.30% per annum, also based on the Company’s Consolidated Total Leverage Ratio.

The Amendment also, among other things, (i) increases the annual restricted-payment basket, subject to the applicable conditions, to $40 million, (ii) permits up to $35 million of indebtedness secured by real property acquired, constructed or developed for use as the Company’s corporate headquarters, (iii) modifies certain permitted add-backs in the calculation of Consolidated EBIT, subject to a 20% cap for specified add-backs, (iv) revises the threshold amount applicable to certain defaults to the greater of $10 million and 10% of Consolidated EBITDA, and (v) permits certain sale-leaseback transactions involving the Company’s real property located in Evansville, Indiana, and any corporate headquarters property, in each case subject to the conditions set forth in the Amendment.

The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the full text of the Amendment, which is filed as Exhibit 4.1 to this Current Report on Form 8-K and is incorporated herein by reference.

The Lenders and their affiliates have performed, and may in the future perform, various commercial banking, investment banking, brokerage, trustee and other financial advisory services in the ordinary course of business for the Company and its subsidiaries for which they have received, and will receive, customary fees and commissions.
