Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 11, 2025, the Sprout Social, Inc. (the “Company”) board of directors (the "Board") elected Gregory Scott Brown to the Board as a Class II director for a term expiring at the 2027 annual meeting of stockholders of the Company.
For his service on the Board, Mr. Brown is expected to receive cash and equity compensation pursuant to the Company’s Non-Employee Director Compensation Policy as described in the Company's proxy statement filed with the U.S. Securities and Exchange Commission on April 8, 2025.
There are no arrangements or understandings between Mr. Brown and any other persons pursuant to which he was elected as a director of the Company. With respect to Item 404(a) of Regulation S-K, there are no relationships or related transactions between Mr. Brown and the Company that would be required to be reported.
