Item 8.01 Other Events.
On October
28, 2025, the Board of Directors of Tectonic Financial, Inc. (the “Company”) declared a quarterly cash dividend of $0.2922614
per share on the Company’s outstanding shares of 9.00% Fixed-to-Floating Rate Series B Noncumulative Perpetual Preferred Stock.
The dividend is for the period from, and including, August 15, 2025 to, but excluding, November 17, 2025, and is payable on November
17, 2025 to shareholders of record as of the close of business on November 7, 2025.
On October
28, 2025, the Board of Directors of the Company declared a cash dividend of $0.10 per share on the Company’s outstanding shares
of common stock. The dividend is payable on November 17, 2025 to shareholders of record as of the close of business on November 7, 2025.
