Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Recommended retroactive tax relief has not cleared the reported liability; the company says any reversal would be treated as a one-time gain.

The presentation describes two tax positions: rescheduling removed the 280E tax burden for state-licensed medical operations, while an uncertain tax position liability remained on the September 30, 2026 balance sheet.

That liability was $625 million, including $610 million tied to the company’s challenge to 280E’s applicability for tax years 2019 through the present; $56 million in tax payments were on deposit.

The presentation says the final order recommended retroactive tax relief, but the liability was still reported at quarter-end; the company says any reversal would be treated as a one-time gain.

Adjusted EBITDA financial
"Adjusted EBITDA of $89 million, or 39% of revenue"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
free cash flow financial
"Free cash flow (Non-GAAP)"
Free cash flow is the amount of money a company has left over after paying all its expenses and investing in its business, like buying equipment or updating facilities. It shows how much cash is available to reward shareholders, pay down debt, or save for future growth. This helps investors understand if a company is financially healthy and able to grow.
deconsolidation financial
"Loss on deconsolidation transaction"
Deconsolidation occurs when a company stops combining another business’s financial results and balances with its own—usually because it no longer controls that business. For investors this matters because it can suddenly shrink reported revenue, assets, debt and profit, or create a one‑time gain or loss, changing how risky or profitable the remaining company appears; think of it like removing a roommate from a shared household budget and seeing your monthly totals change.
Section 280E regulatory
"Section 280E disallows deductions of ordinary business expenses"
A U.S. federal tax rule that prevents businesses involved in trafficking federally controlled substances from deducting most ordinary business expenses on their federal income tax returns, while still permitting them to count the cost of goods sold. For investors it matters because it increases a company’s effective tax rate and reduces reported profits and cash flow—similar to a store allowed to subtract only the cost of its inventory but not rent or wages—affecting valuations and reinvestment capacity.
uncertain tax position liability financial
"uncertain tax position liability was $625 million"
Revenue $230.2 million Down 20% year over year; Q3 2026 includes only medical operations, while the prior-year period includes consolidated Harvest mixed medical and adult-use operations.
Gross margin 64.3% Compared with 58.9% in Q3 2025.
Net income attributable to common shareholders $0.9 million Versus a $26.8 million loss in Q3 2025.
Adjusted EBITDA $89.2 million Down 13% year over year; 39% of revenue.
Guidance

Non-GAAP Financial Measures (Unaudited)
Our management uses financial measures that are not in accordance with GAAP, in addition to financial measures in accordance with GAAP to evaluate our operating results. These non-GAAP financial measures should be considered supplemental to, and not a substitute for, our reported financial results prepared in accordance with GAAP. EBITDA, adjusted EBITDA, EBITDA margin, adjusted EBITDA margin, adjusted net income (loss), adjusted net income (loss) per diluted share, and free cash flow are financial measures that are not defined under GAAP. Our management uses these non-GAAP financial measures and believes they enhance an investor’s understanding of our financial and operating performance from period to period because they exclude certain material non-cash items and certain other adjustments management believes are not reflective of our ongoing operations and performance. These non-GAAP measures are not a measure of liquidity, cash generated by the Company, or cash available for discretionary expenditures.
EBITDA is calculated as net income (loss) before net interest expense, interest income, income tax expense, depreciation and amortization; adjusted EBITDA is calculated as net income (loss) before net interest expense, interest income, income tax expense, depreciation and amortization and also excludes certain contributions, such as cash expenditures related to campaign and political initiatives, items that we do not believe represent the operations of the core business such as cash and non-cash acquisition, disposition and specified transaction costs and certain other cash and non-cash costs including major system changes, impairments and disposals of long-lived assets including goodwill, discontinued operations, share-based compensation, other income and expense items, equity in net loss of Harvest and loss on Deconsolidation Transaction; EBITDA margin is calculated as EBITDA as % of revenue; adjusted EBITDA margin is calculated as adjusted EBITDA as % of revenue; adjusted net income (loss) is calculated as net income (loss) less certain contributions, such as cash expenditures related to campaign and political initiatives, items that we do not believe represent the operations of the core business such as cash and non-cash acquisition, disposition and specified transaction costs and certain other cash and non-cash costs including major system changes, impairments and disposals of long-lived assets including goodwill, discontinued operations, share-based compensation, other income and expense items, equity in net loss of Harvest and loss on Deconsolidation Transaction; adjusted EPS is calculated as adjusted net income (loss) divided by diluted shares outstanding; and free cash flow is calculated as cash flow from operations less capital expenditures. Some of the items added back to, or removed from, these non-GAAP measures have occurred in prior periods and may occur in future periods.
We report these non-GAAP measures to help investors assess the operating performance of the Company’s business. The financial measures noted above are metrics that have been adjusted from GAAP net income (loss), net income (loss) per share, and cash flow from operating activities in an effort to provide readers with normalized metrics in making comparisons more meaningful across the cannabis industry as competitors commonly disclose similar performance measures; however, our calculation of EBITDA, adjusted EBITDA, EBITDA margin, adjusted EBITDA margin, adjusted net income (loss), adjusted net income (loss) per diluted share, and free cash flow may not be comparable to other similarly titled performance measures of other companies, as well as to remove items that may otherwise distort the GAAP net income (loss), net income (loss) per share or cash flow from operating activities measure.
As noted above, our EBITDA, adjusted EBITDA, EBITDA margin, adjusted EBITDA margin, adjusted net income (loss), adjusted net income (loss) per diluted share, and free cash flow measures are not prepared in accordance with GAAP, and should not be considered in isolation of, or as an alternative to, measures prepared in accordance with GAAP. There are a number of limitations related to the use of these non-GAAP measures rather than net income (loss), net income (loss) per share and cash flow from operating activities, which are the most directly comparable financial measures calculated and presented in accordance with GAAP. Because of these limitations, we consider, and you should consider, these non-GAAP measures together with other operating and financial performance measures presented in accordance with GAAP. A reconciliation of these non-GAAP measures to the most directly comparable financial measure calculated in accordance with GAAP can be found below.
