Teucrium Commodity Trust (BTCK), sponsor of the 7RCC Spot Bitcoin and Carbon Credit Futures ETF, reports that the Fund’s outstanding Shares have reached the minimum level of 50,000 Shares, equal to five baskets of 10,000 Shares each. Under the Prospectus section “Creation and Redemption of Shares — Suspension or Rejection of Redemption Orders,” the Sponsor may reject any redemption order that would reduce outstanding Shares below 50,000, unless the redeemer holds all outstanding Shares. The Sponsor states it will reject such redemption orders until additional creation orders increase Shares outstanding. The Trust notes that in this situation market makers may be less willing to purchase Shares on NYSE Arca, which can result in wider bid-ask spreads, reduced secondary-market liquidity, and larger deviations of the trading price from NAV per Share.
Teucrium Commodity Trust (BTCK), through its sponsor Teucrium Trading, LLC, has authorized the Teucrium Wheat Fund to invest, at the Sponsor’s discretion, in KC Hard Red Winter Wheat futures on the Chicago Board of Trade and Hard Red Spring Wheat futures on the Minneapolis Grain Exchange.
The Fund will use these Alternative Wheat Futures Contracts only when position limits, accountability levels or price fluctuation limits restrict its ability to hold its usual Benchmark Component Futures Contracts in amounts needed to pursue its objective. The investment objective, Benchmark and Benchmark Component Futures Contracts remain unchanged, and under normal conditions the Fund will continue to focus on those benchmark contracts and cash equivalents.
The Trust notes that because these alternative contracts reference different wheat classes, delivery locations and specifications, and trade in less liquid markets, the Fund’s NAV may correlate less closely with its Benchmark when they are used. On August 31, 2026, the Trust filed a Rule 424(b)(3) prospectus supplement describing these changes.
Teucrium Commodity Trust changed its independent auditor in June 2026. On June 18, 2026, the Sponsor dismissed Grant Thornton LLP as the Trust’s independent registered public accounting firm. Grant Thornton’s reports for the years ended December 31, 2025 and 2024 contained no adverse opinions, disclaimers, or qualifications.
The Trust reports there were no disagreements with Grant Thornton on accounting principles, financial disclosure, or audit scope, and no reportable events during those periods. On June 23, 2026, the Trust engaged Cohen & Company, Ltd. as its new independent registered public accounting firm for the fiscal year ending December 31, 2026.
Teucrium Commodity Trust, on behalf of its 7RCC Spot Bitcoin and Carbon Credit Futures ETF, has entered into two key agreements to handle bitcoin custody and trading. On May 18, 2026, the fund signed a new Custodial Services Agreement with BitGo Bank & Trust, under which BitGo will maintain segregated custody accounts for the fund’s bitcoin and must carry reasonable insurance coverage. The fund agrees to indemnify BitGo and certain affiliates in specified circumstances.
On May 22, 2026, the fund also entered into a Master Purchase Agreement with BitGo Prime, LLC, which will act as a Bitcoin trading counterparty. Under this agreement, the fund and BitGo Prime may buy and sell digital assets with each other through BitGo Prime’s electronic trading system, with no commissions, transaction, processing or similar fees charged to the fund. BitGo Prime may suspend or terminate system access for cause, and is only liable for gross negligence, fraud or willful misconduct.

Teucrium Commodity Trust, the sponsor of exchange-traded products including the Teucrium Sugar Fund, reported that on December 18, 2025 it entered into a Sixth Amended and Restated Declaration of Trust and Trust Agreement with Wilmington Trust Company as trustee. This updated declaration focuses on how each fund series within the trust is treated for U.S. federal income tax purposes.
The amended declaration grants the sponsor full authority, acting in the best interests of the trust and each fund, to make tax elections and to determine, change, or elect to change the federal income tax classification of each fund. It states that the sponsor may exercise this authority without needing authorization from the trustee or shareholders, and clarifies that a tax classification decision for one fund does not affect any other fund. Shareholders also waive any right to challenge a tax classification determination made by the sponsor, and the declaration includes related clarifying revisions and updates to reflect changes in applicable tax laws.

After the reverse split, every five pre-split shares will combine into one post-split share. The Trust attached a press release as Exhibit 99.1 detailing the action.
