4 terms
automated market maker technical
"permissioned automated market maker (AMM) pools"
An automated market maker is a computer program that allows people to buy and sell assets quickly and smoothly without needing a traditional middleman like a broker. It works by using algorithms to set prices automatically based on supply and demand, much like a vending machine that provides snacks at prices adjusted to how many people want them. This makes trading more accessible and efficient for investors.
transfer agent regulatory
"an SEC-registered transfer agent"
A transfer agent is a financial service that keeps the official record of who owns a company's shares, handles the buying and selling of those shares on paper or electronically, and issues or cancels stock certificates. Think of it as the company’s records keeper and mailroom combined—investors rely on it to make sure dividends, shareholder mailings, ownership changes, and proxy voting are processed accurately and securely, which protects ownership rights and helps prevent errors or fraud.
delivery-versus-payment financial
"on a delivery-versus-payment basis"
Delivery-versus-payment is a settlement method where the seller hands over securities only when the buyer’s payment is made, and the buyer pays only when the securities are delivered. Think of it like exchanging house keys and cash at the same time to avoid one side walking away with the goods or money; it matters to investors because it sharply cuts the risk of failed trades and protects cash and holdings, improving market reliability and liquidity.
smart contracts technical
"smart contracts enforce those rules"
Self-executing digital agreements whose terms are written as code and stored on a distributed ledger so they run automatically when preset conditions are met — like a vending machine that releases a snack only after you insert the right coins. Investors care because smart contracts can speed up transactions, cut middlemen, reduce errors and fraud, and create new ways to issue, trade or enforce financial assets, which affects costs, risk and regulatory oversight.

The trades involving Canton Strategic Holdings (NASDAQ: CNTN) shares follow TSV LLC's September 23 notice to the SEC, the first by any Tokenized Securities Venue

NEW YORK, Nov. 4, 2026 /PRNewswire/ -- TSV LLC ("TSV"), the permissioned venue for tokenized NMS stocks on the Canton Network, today supported the first trades of a tokenized U.S. stock under the U.S. Securities and Exchange Commission's (SEC) Innovation Exemption, executed through a permissioned pool on Tradecraft, the automated market maker protocol that powers TSV. In the transactions, DRW Cumberland executed the first-ever purchases of tokenized Canton Strategic Holdings, Inc. (NASDAQ: CNTN) common stock from Five North, an existing shareholder. Fairmint TA LLC ("Fairmint"), an  SEC-registered transfer agent and a subsidiary of Fairmint, Inc., recorded the shares in token form in Five North's verified Loop Wallet, and Flowdesk Liquidity Solutions LLC ("Flowdesk") provided liquidity.

The trades are a milestone for tokenized equities in the United States, bringing onchain trading of a U.S.-listed stock within the SEC's new regulatory framework, announced in September, for the first time. They come as the asset class gains momentum, with onchain value of tokenized stocks growing from about $678 million at the start of 2026 to $3.15 billion by September, according to The Block Research. With a regulatory path now defined, issuer-sponsored listings like CNTN offer a model for public companies to bring their shares onchain while preserving the rights investors expect.

"Shares of a U.S. public company traded onchain under the SEC's Innovation Exemption for the first time, carrying the same rights as the CNTN stock that trades on Nasdaq," said Ryan Trinkle, Co-Founder of TSV. "We set out to make our first listing the standard for how tokenized U.S. equities should work under the SEC's Innovation Exemption. The token is issuer-sponsored, with Fairmint's Onchain Transfer Agent keeping the official record, and every holder is verified before they can hold or trade. On Tradecraft, approved investors can now trade at any hour, and shares and payment settle on the Canton Network."

The trades follow Canton Strategic Holdings' October 29 announcement of its agreement with TSV to make its common stock available for trading on the venue. Fairmint, Canton Strategic Holdings' SEC-registered transfer agent, recorded the tokenized shares on behalf of the company as issuer-sponsored shares, maintains the official onchain record of ownership, operates the allow list of verified holders and wallets, and applies the company's transfer controls. Holders of the tokenized shares receive the same rights and privileges as holders of CNTN shares traded on Nasdaq.

The SEC's Innovation Exemption, issued September 17, allows qualifying platforms to trade tokenized U.S. stocks through permissioned automated market maker (AMM) pools. TSV, a special purpose regulatory vehicle, was the first to formally notify the SEC of its intent to operate a tokenized securities venue, publishing its initial venue notice on September 23. Because Canton Strategic Holdings sponsored the tokenization of its own shares, the listing did not require the 30-day issuer notice-and-objection process that applies when unaffiliated parties tokenize a company's stock.

Tradecraft is the leading AMM protocol on the Canton Network and powers TSV. Through the venue, approved participants can trade tokenized shares 24/7, subject to regulatorily required trading stoppages, maintenance, risk controls, and trading volume limits, with trades settling atomically on a delivery-versus-payment basis so shares and payment change hands together. Participants and their wallets must be approved before trading, including identity verification and sanctions screening, and smart contracts enforce those rules.
