Rhea-AI Filing Summary

Beacon Financial Corp and Beacon Bank & Trust entered into an employment agreement with Sean A. Gray, the President and Chief Executive Officer, effective September 21, 2026. It provides an annual base salary of $1,000,000, an annual cash bonus target of 75% of base salary, and eligibility for annual equity awards with a grant date fair value of 105% of base salary. Gray also received a one-time restricted-stock award valued at $275,000, vesting in three equal tranches on the first, second, and third anniversaries of the grant date. If his employment ends without cause or he resigns for good reason, subject to an effective separation agreement and release, the agreement provides cash severance equal to two times the sum of his base salary and annual target bonus, less the value of any accelerated portion of the retention bonus payable under his prior agreement. It also provides accelerated vesting of outstanding equity awards, health insurance for up to 24 months, and life and disability coverage for 24 months. For such a termination within 24 months after a change in control, cash severance equals three times the sum of his base salary and annual target bonus.

grant date fair value financial
"annual equity awards with a grant date fair value of 105% of base salary"
The grant date fair value is the estimated dollar worth of a stock-based award (such as stock options or restricted shares) at the exact moment it is given to an employee or contractor. Investors care because companies use that value to record compensation expenses and to show how much potential ownership and earnings dilution those awards could create—think of it as the price tag placed on a gift card when it is handed over so the company can report the cost now.
restricted stock financial
"a one-time award of restricted stock"
Shares granted to an individual that carry limits on transfer or sale until certain conditions are met, such as staying with the company for a set time or hitting performance targets. Think of them as a locked gift that gradually opens; for investors they matter because they affect how many shares may enter the market later, signal management incentives and potential dilution, and reveal confidence in future company performance.
accelerated vesting financial
"accelerated vesting of any outstanding equity awards"
A contract feature that makes stock awards, options, or restricted shares become owned or exercisable earlier than the original schedule. It shortens or cancels the waiting period so recipients can sell, transfer, or exercise their equity sooner — think of a timed lock that is unlocked ahead of schedule. It matters to investors because it changes when shares enter the market, who controls them, and how much dilution or ownership concentration happens.
good reason technical
"Mr. Gray resigns for good reason"
