Series A Director regulatory
"designated by Monarch as a Series A Director"
Class I director regulatory
"serve as a Class I director, with a term expiring"
A class I director is a member of a company’s board who belongs to one of several groups whose terms expire in a specified year under a staggered election system; each class is elected on a different cycle so only a portion of the board faces re-election each year. This matters to investors because it affects how quickly control of the board can change, the company’s continuity and oversight, and the ease of mounting or defending against takeover efforts—think of a team where only some players are replaced each season rather than the whole roster at once.
restricted stock unit award financial
"prorated annual restricted stock unit award for the current service year"
A restricted stock unit award is a promise by a company to give an employee a specified number of company shares at a future date if certain conditions are met, such as staying with the company or hitting performance goals. For investors, these awards matter because they can increase the total number of shares outstanding when converted, diluting existing holders, and they align employees’ incentives with shareholders’ interests much like giving a rising bonus that becomes real only after conditions are satisfied.
indemnification agreement regulatory
"standard form of indemnification agreement for directors"
An indemnification agreement is a contract in which one party promises to cover losses, costs, or legal claims that another party might face, acting like a tailored safety net or private insurance policy. For investors, it matters because such agreements shift potential financial risk away from a company or its officers and onto the indemnifier, which can affect a company’s future liabilities, cash flow and how risky the investment appears during deal-making or litigation.

LOS ANGELES, CA / BUSINESS WIRE / October 26, 2026 — Capstone Energy+, Inc. Mr. Schwertner is an independent director designated by Monarch Alternative Capital LP under the terms of its strategic investment in the Company announced in March 2026.

A three-time CEO with more than 20 years of energy industry leadership, Schwertner brings extensive experience scaling energy infrastructure businesses, navigating power markets and raising institutional capital, expertise closely aligned with Capstone's strategy to expand its presence in high-growth, mission-critical energy markets.

“My fellow board members and I are excited to welcome Brandon to the Capstone board of directors. He will be a great asset to our Board and more importantly, a great ambassador for moving the Company forward as we continue to grow the top and bottom line. We believe his experience and leadership make him an excellent addition to our Board as we continue to focus on accelerating our growth strategy, strengthening financial performance and driving sustainable, long-term shareholder value,” said Robert Powelson, Interim Chairman of Capstone Energy+.

“Capstone has a proven technology platform, a strong global installed base and a compelling opportunity to address one of today's most pressing energy challenges: delivering reliable power when and where it's needed,” said Brandon Schwertner. “As demand for energy certainty accelerates across data centers and other mission-critical markets, I believe Capstone is well positioned to capitalize for its next phase of growth. I'm excited to work with Vince, the leadership team and my fellow Board members to help translate this opportunity into sustainable, profitable growth.”
