Creative Realities (NASDAQ: CREX) has announced its intention to vigorously defend against a patent infringement lawsuit filed by Alpha Modus Corp (AMOD) in Texas federal court. The lawsuit alleges that CRI's digital signage solutions infringe on AMOD's patents related to consumer behavior analysis, targeted marketing, and AI-driven retail personalization.

CRI's CEO Rick Mills strongly denies the allegations, noting that AMOD has filed similar lawsuits against multiple companies since 2024. The Company points out that AMOD, which reported a working capital deficit of $9.38 million as of June 30, 2025, and has no reported revenues, may be using these lawsuits as a tactic to distract from its financial position.

CRI emphasizes its continued commitment to developing digital signage solutions through its Clarity™, ReflectView™, and iShowroom™ platforms, serving various markets including retail, automotive, and digital-out-of-home advertising networks.

Insights

CREX faces patent lawsuit from Alpha Modus, appears to be part of a pattern of litigation against multiple companies by a financially troubled plaintiff.

Creative Realities (CREX) has been pulled into what appears to be a strategic litigation campaign by Alpha Modus, a company with significant financial challenges. The lawsuit alleges infringement of patents related to digital signage technologies including real-time consumer behavior analysis and AI-driven retail personalization. This case exhibits several hallmarks of what industry professionals might classify as predatory litigation.

The context is particularly revealing: Alpha Modus has filed similar patent infringement claims against at least nine other companies since early 2024, suggesting a pattern of using litigation as a business strategy rather than protecting legitimate intellectual property rights. Their financial situation is precarious, with a working capital deficit of $9,381,880 and no reported revenues, indicating they may be seeking settlements as a revenue source.

The absence of pre-litigation communication is notable. Standard industry practice for legitimate patent enforcement typically involves notification and licensing discussions before filing suit. Alpha Modus' decision to file directly without prior contact with CREX suggests an aggressive litigation strategy rather than good-faith patent enforcement.

For CREX, this represents a manageable but unwanted distraction. The company has established proprietary technology platforms (Clarity™, ReflectView™, iShowroom™) and appears confident in its non-infringement position. While patent litigation is costly and time-consuming, CREX's public stance indicates they believe they have strong defensive arguments and intend to fight rather than settle.

This patent infringement case exemplifies what we call non-practicing entity (NPE) litigation - where a company that doesn't produce products asserts patents against operating businesses. What makes this situation distinctive is Alpha Modus' apparent financial distress and litigation pattern.

From a litigation risk perspective, several factors suggest this case may have limited merit: First, Alpha Modus has targeted multiple companies simultaneously with similar claims, which often indicates a mass litigation strategy rather than targeted enforcement of legitimate rights. Second, their financial situation (working capital deficit of nearly $9.4 million and no revenue) creates significant incentive to seek quick settlements rather than prevail on the merits.

The venue choice is also strategic - filing in Texas federal court is typical for NPEs due to historically plaintiff-friendly procedures and potential for faster timelines. However, recent judicial reforms have reduced some advantages previously available to NPEs in these jurisdictions.

For CREX shareholders, the immediate financial exposure is likely limited to defense costs rather than substantial damages. Patent cases typically take 2-3 years to resolve, with defense costs potentially reaching $1-3 million depending on case complexity. Given CREX's technology development history through both internal innovation and acquisitions, they likely have substantial prior art and non-infringement arguments available. The company's confident public stance suggests their legal team has assessed the claims and found significant defensive positions.

LOUISVILLE, Ky., Sept. 08, 2025 (GLOBE NEWSWIRE) -- Creative Realities, Inc. (NASDAQ: CREX) (the “Company” or “CRI), a leading provider of digital signage, media and AdTech solutions, announced today that it will vigorously defend itself against accusations of patent infringement alleged in a lawsuit filed in Texas federal court by Alpha Modus, Corp., a subsidiary of Alpha Modus Holdings Inc. (AMOD). The lawsuit alleges, in essence, that CRI’s digital signage solutions infringe on AMOD’s patented technologies for real-time consumer behavior analysis, targeted marketing, digital engagement, inventory management, and AI-driven retail personalization.

AMOD’s quarterly report for the quarter ended June 30, 2025 states that it initiated patent infringement actions against five other companies since the beginning of 2024, and AMOD has announced the commencement of at least four similar lawsuits over the past few weeks. The Company believes that the allegations in the lawsuit are part of AMOD’s tactic of filing patent infringement claims to offset concerns about its financial position and history of operating losses. According to its SEC reports, AMOD had a working capital deficit of $9,381,880 on June 30, 2025, and has no reported revenues.

“AMOD declined to contact CRI prior to filing its claims, and we appear to be part of its ongoing efforts to bring claims against revenue-generating companies to distract from its own lack of revenue-generating activities,” said Rick Mills, CEO of CRI. “We categorically deny AMOD’s allegations and will vigorously defend against them. We will continue to develop product solutions for our customers to revolutionize the consumer shopping experience, and AMOD’s suit will not distract or deter us.”

Though years of internal development and acquisitions, CRI has developed a platform that designs, develops and deploys digital signage-based experiences for enterprise-level networks utilizing its Clarity™, ReflectView™, and iShowroom™ Content Management System (CMS) platforms. The Company is actively providing recurring SaaS and support services across diverse vertical markets, including but not limited to retail, automotive, digital-out-of-home (DOOH) advertising networks, convenience stores, foodservice/QSR, gaming, theater, and stadium venues. In addition, CRI assists clients in utilizing place-based digital media to achieve business objectives such as increased revenue, enhanced customer experiences, and improved productivity. This includes the design, deployment, and day to day management of retail media networks to monetize on-premise foot traffic utilizing its AdLogic™ and AdLogic CPM+™ programmatic advertising platforms.
