Rhea-AI Filing Summary

Cricut, Inc. (CRCT) entered into a five-year, senior secured, multicurrency revolving credit facility with aggregate commitments of $300.0 million, replacing its prior credit agreement dated August 4, 2022. The facility matures on October 22, 2031, and includes a $35.0 million letter-of-credit sublimit and a $30.0 million foreign-currency sublimit. Subject to customary conditions, the company may use it for working capital and general corporate purposes, including permitted acquisitions and share repurchases.

Borrowings may bear interest at the company’s option at an applicable benchmark rate plus a margin of 1.125% to 2.00%, or at the Alternate Base Rate plus a margin of 0.125% to 1.00%; margins depend on the Net Leverage Ratio. The agreement requires a maximum Net Leverage Ratio of 3.00 to 1.00 and a minimum Interest Coverage Ratio of 3.00 to 1.00. Dividends and share repurchases are permitted without specific dollar limitation, subject to no default and a pro forma maximum Net Leverage Ratio of 2.5 to 1.00. At termination of the prior agreement, no principal was outstanding; its liens were released, and no material early termination penalties were incurred.

Adjusted Term SOFR Rate financial
"at either (i) the Adjusted Term SOFR Rate"
Net Leverage Ratio financial
"based on the Company’s Net Leverage Ratio"
The net leverage ratio measures how much debt a company has compared to its available assets or earnings, after accounting for its cash and liquid assets. It helps investors understand how heavily a company relies on borrowed money to finance its operations and growth. A higher ratio indicates greater financial risk, while a lower ratio suggests a more cautious approach to borrowing.
Interest Coverage Ratio financial
"a minimum Interest Coverage Ratio of 3.00 to 1.00"
A measure of how easily a company can pay the interest on its debt, calculated by comparing the earnings it generates from operations to the interest it owes. It matters to investors because a higher ratio means the company can comfortably meet interest payments — like having several paychecks set aside to cover your rent — while a low ratio signals greater risk of missed payments or financial strain.
letter-of-credit sublimit financial
"includes a $35.0 million letter-of-credit sublimit"
A letter-of-credit sublimit is a specific cap inside a loan agreement that limits how much of a borrower’s credit can be used to support letters of credit (bank guarantees used in trade or contracts). Think of it as a separate pocket in a wallet reserved for guarantees: it doesn’t reduce the overall loan ceiling but restricts how much can be tied up as third‑party assurances. Investors care because a tight sublimit can constrain a company’s liquidity, ability to win deals that require guarantees, and its room to manage cash or meet covenants.

The Company is required to pay a commitment fee on undrawn revolving commitments at a rate ranging from 0.125% to 0.225%, based on its Net Leverage Ratio. The applicable benchmark rate floors are 0.00%.
The obligations under the Credit Facility are guaranteed by the Company’s loan-party subsidiaries and are secured by substantially all of the assets of the Company and the loan-party subsidiaries, subject to customary exceptions. The Credit Agreement contains customary affirmative and negative covenants, including limitations on indebtedness, liens, fundamental changes, investments, asset sales, restricted payments and affiliate transactions. The Credit Agreement also requires the Company to maintain a maximum Net Leverage Ratio of 3.00 to 1.00 and a minimum Interest Coverage Ratio of 3.00 to 1.00. Following a permitted acquisition for which the aggregate consideration exceeds $75.0 million, the Company may elect to increase the maximum Net Leverage Ratio to 3.50 to 1.00 for four consecutive fiscal quarters, subject to the terms of the Credit Agreement. The Credit Agreement permits the Company to pay dividends and repurchase shares without specific dollar limitation, subject to the absence of a default and compliance with a maximum Net Leverage Ratio of 2.5 to 1.00, on a pro forma basis.
The Credit Agreement contains customary events of default, including payment defaults, covenant defaults, cross-defaults to certain material indebtedness, bankruptcy and insolvency events, material judgment defaults and change of control events. Upon the occurrence and during the continuance of an event of default, the Administrative Agent may, or at the request of the required lenders shall, terminate the commitments, accelerate the outstanding obligations and exercise other customary remedies, subject to the terms of the Credit Agreement.
