Rhea-AI Filing Summary

ManpowerGroup Inc. appointed Lidia Fonseca to its Board of Directors, with service beginning November 1, 2026; board size will increase from 12 to 13 directors. Fonseca previously served as Pfizer’s Chief Digital and Technology Officer and Executive Vice President and is currently Senior Advisor to Pfizer’s CEO. She will not serve on a ManpowerGroup board committee.

As a non-employee director, Fonseca will receive a prorated 2026 retainer and annual grant under the existing director compensation arrangement: a $120,000 annual cash retainer (or deferred stock at her election) and an annual grant with approximately $180,000 grant-date fair value (or restricted stock at her election). She is also entitled to reimbursement for travel to board and, if applicable, committee meetings. The company will enter into an indemnification agreement with her in substantially the same form as those with other outside directors.

"deferred stock in lieu of all or a portion of the cash retainer"
restricted stock financial
"a grant of restricted stock"
Shares granted to an individual that carry limits on transfer or sale until certain conditions are met, such as staying with the company for a set time or hitting performance targets. Think of them as a locked gift that gradually opens; for investors they matter because they affect how many shares may enter the market later, signal management incentives and potential dilution, and reveal confidence in future company performance.
indemnification agreement regulatory
"enter into an indemnification agreement with Ms. Fonseca"
An indemnification agreement is a contract in which one party promises to cover losses, costs, or legal claims that another party might face, acting like a tailored safety net or private insurance policy. For investors, it matters because such agreements shift potential financial risk away from a company or its officers and onto the indemnifier, which can affect a company’s future liabilities, cash flow and how risky the investment appears during deal-making or litigation.
